Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("Customer", "you") and ParadicShift ("ParadicShift", "we", "us") governing your access to and use of the ParadicShift platform, APIs, and related services (the "Service").
By enrolling, creating an account, or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter contracts in your jurisdiction to use the Service. Use of the Service by persons under 16 is strictly prohibited.
2. Account Registration
You must provide accurate, current, and complete information during enrollment and keep your account information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. 3. Permitted Use
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business operations during the subscription period.
You agree not to:
- Reverse engineer, decompile, or disassemble any part of the Service.
- Copy, modify, or create derivative works of the Service without our prior written consent.
- Sublicense, resell, or make the Service available to third parties (except as expressly permitted under a Platform partner agreement).
- Use the Service to build a competing product or service.
- Circumvent or disable any security, rate-limiting, or access-control mechanisms.
- Upload or transmit malicious code, spam, or content that violates applicable law.
- Use the Service in any way that violates applicable export controls, sanctions, or regulations.
4. Subscriptions & Fees
4.1 Plans
The Service is offered on subscription plans described on the Pricing page. Fees are billed in advance on a monthly or annual basis, as selected at enrollment.
4.2 Payment
You authorize us to charge your designated payment method for all fees. All fees are in USD unless otherwise stated, and are exclusive of taxes. You are responsible for any applicable taxes. Payments are non-refundable except as set out in Section 4.4.
4.3 Price Changes
We may change subscription fees at any time. We will provide at least 30 days' notice before any fee increase takes effect. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
4.4 Free Trials
We may offer free trials at our discretion. At the end of a trial period, your account will convert to a paid subscription unless you cancel before the trial ends.
4.5 Refunds
Subscription fees are non-refundable. If we terminate your account without cause, we will refund a pro-rated amount for the unused portion of the current billing period.
5. Customer Data
You retain all ownership of data, records, and content you input into the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service. We will not access Customer Data except to provide support, comply with legal obligations, or as directed by you.
You are solely responsible for the accuracy, legality, and appropriateness of Customer Data. You represent that you have all rights necessary to provide Customer Data to us.
6. Intellectual Property
The Service and all related software, documentation, trademarks, and content are owned by ParadicShift or its licensors. Nothing in these Terms transfers any intellectual property rights to you except the limited license in Section 3.
If you provide feedback, suggestions, or ideas about the Service, we may use such feedback freely without obligation to you.
7. Confidentiality
Each party agrees to keep confidential the other party's non-public business, technical, and financial information that is designated as confidential or should reasonably be understood to be confidential. Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
8. Availability & SLA
We will use commercially reasonable efforts to make the Service available. Planned maintenance windows will be communicated at least 24 hours in advance. For Enterprise and Platform plans, additional uptime commitments may be specified in a separate Service Level Agreement.
9. Security & Compliance
We maintain administrative, technical, and physical safeguards designed to protect Customer Data. Details of our security practices are available at [email protected]. You are responsible for configuring your workspace securely, including user access management and password policies.
10. Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
11. Third-Party Services
The Service may integrate with third-party services (IoT providers, ERP systems, PLC/SCADA platforms, payment processors). Your use of such services is subject to their respective terms. We are not responsible for the availability or performance of third-party services.
12. Suspension & Termination
12.1 By You
You may cancel your subscription at any time from your workspace settings. Access continues until the end of the current billing period.
12.2 By Us
We may suspend or terminate your access immediately if you:
- Breach these Terms and fail to cure the breach within 10 days of notice.
- Become insolvent or initiate bankruptcy proceedings.
- Use the Service in a manner that creates legal or security risk for us or others.
We may also terminate without cause on 30 days' notice, in which case we will provide a pro-rated refund.
12.3 Effect of Termination
Upon termination, your access to the Service ceases and we will delete Customer Data after a 90-day grace period, except as required by applicable law.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARADICSHIFT'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
15. Indemnification
You agree to indemnify and hold harmless ParadicShift, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of applicable law or third-party rights.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any dispute shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the rules of the London Court of International Arbitration (LCIA). Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.
17. General
- Entire Agreement — These Terms, together with any order forms, addenda, and policies incorporated by reference, constitute the entire agreement between the parties.
- Severability — If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver — Failure to enforce any provision is not a waiver of future enforcement.
- Assignment — You may not assign these Terms without our written consent. We may assign in connection with a merger or acquisition.
- Notices — Legal notices to us must be sent to [email protected].
- Force Majeure — Neither party is liable for delays caused by circumstances beyond their reasonable control.
18. Changes to These Terms
We may modify these Terms from time to time. We will notify you of material changes at least 30 days in advance by email or in-platform notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
